Neither culture nor structure can make an organization ethical, if its managers are not ethical. Ethics is a very old concept and its meaning has been changing. In simplest terms, it means moral conduct for living a 'good' life in a 'good' society. But, it needs to be noted that ethics is a highly elusive, enigmatic, complex, and sensitive concept. In broad terms, it is focused on what we ought to do as compared to what we actually do. Ethics is very wide in its scope. A question always arises that what ethics is all about? Ethics can be simply defined as set of values, which guide our action. Ethics is mainly guided by one's value system. Reason for selecting middle level managers of corporate sector in this study is, they deals with lower and upper level of an organization which keeps themselves in a dilemma for their interest or protection. Middle level managers have to follow the order and instructions of higher level authority. So the aim of the present study is to understand the ethical agreement of middle level managers in reference to the work related, superior related, subordinate related, peer related, trade union related and their participative decision making ethics.
